TERMS OF USE

1. AGREEMENT TO TERMS & SERVICE DESCRIPTION

PixTwist provides a cloud-based software-as-a-service platform that empowers event planners, corporate organizers, agencies, and venues to design, configure, and broadcast interactive generative AI photo experiences. The platform includes studio tools for style selection, visual frame compositing, live moderation, live stage broadcast galleries, and mobile attendee capture portals.

By purchasing a subscription, creating an organization, or configuring an event on PixTwist, you represent and warrant that you have the legal capacity and authority to enter into these Terms of Use on behalf of yourself or the entity you represent.

2. WEB APPLICATION VS. ATTENDEE MOBILE PORTAL RESPONSIBILITY

You expressly acknowledge and agree to the distinction between platform terms and event attendee terms:

• PixTwist Web Application: Governed directly by these Terms of Use and our Privacy Policy between you and Requiremints LTD.
• Attendee Mobile Portal Agreement: You maintain sole and exclusive responsibility for determining, drafting, approving, and administering the legal terms, consent statements, image rights grants, and privacy disclosures displayed to event attendees within the mobile portal flow (/e/[slug]).
• While PixTwist provides default text templates for convenience, Requiremints LTD disclaims any warranty that such suggestions satisfy legal requirements in your jurisdiction. You must review and adopt your own attendee terms.

3. USER RESPONSIBILITY FOR IMAGE RIGHTS & BRAND ASSETS

You are strictly and solely responsible for all images, brand assets, logos, fonts, visual overlays, backdrops, and media uploaded to or processed through the platform by you or your users.

You represent and warrant that:

• You possess all necessary ownership rights, licenses, releases, permissions, and clearances for all images, corporate trademarks, attendee photographs, and artwork uploaded to PixTwist.
• No uploaded asset infringes upon, misappropriates, or violates the copyright, trademark, patent, trade secret, right of privacy, or right of publicity of any third party.
• You have obtained verifiable consent from each individual depicted in any photograph uploaded to the platform, including any necessary parental or legal guardian consent where minors are depicted.
• Permitted Use of Attendee Photos (Personal & Event Commemorative Use Only): Photographs and portraits shared by event attendees through the mobile portal may be used by the event organizer solely for internal, event-related, and personal commemorative purposes. Event organizers and organization users are strictly prohibited from selling, licensing, commercializing, or publicly publishing attendee photographs or AI portraits outside the event context without obtaining the attendee's express prior written approval.
• Requiremints LTD shall not be liable for any intellectual property dispute, copyright infringement claim, or unauthorized image processing claim arising out of your event or content.

4. AI PROMPTS & MANDATORY COMPLIANCE WITH APPLICABLE LAWS

You are strictly and solely responsible for all text prompts, prompt modifiers, negative prompts, artistic guidelines, and generative instructions entered into the AI Prompt Studio or deployed to your events.

You agree that all prompts and resulting synthetic imagery must comply with all applicable local, national, and international laws, regulations, public morals, and industry standards. You are strictly prohibited from configuring or submitting prompts that:

• Generate or solicit child sexual abuse material (CSAM), child sexual exploitation, or any harm to minors.
• Generate non-consensual sexually explicit imagery, adult content, nudity, or deepfakes.
• Promote hate speech, racial or ethnic discrimination, violence, terrorism, self-harm, or harassment of any individual or group.
• Infringe upon the trademarked characters, likenesses of living persons without express consent, or proprietary intellectual property of third parties.
• Generate fraudulent, deceptive, or defamatory material intended to mislead the public or cause unlawful harm.

Requiremints LTD reserves the absolute right, without prior notice, to suspend or terminate accounts, refuse processing, or delete presets that violate this Section 4. You agree to defend, indemnify, and hold harmless Requiremints LTD against any penalties, claims, or liabilities resulting from unlawful prompts configured by you or your users.

5. AI IMAGE SYNTHESIS DISCLAIMER & MODEL PROCESSING

Generated portraits produced through PixTwist are artistic algorithmic interpretations created via generative diffusion pipelines and private cloud inference APIs (including fal.ai and Replicate).

Artificial Intelligence Disclaimer: Generative AI models operate probabilistically. Requiremints LTD makes no warranties, express or implied, regarding the photorealism, aesthetic perfection, facial exactness, or resemblance of generated portraits. Images processed through our pipeline are not used to train global public machine learning models.

6. ACCOUNT REGISTRATION, ACCESS & SECURITY

You must register for an account to use the administrative studios. You agree to provide accurate, current, and complete registration information and maintain the security of your credentials. You are responsible for all activities occurring under your account or team organization.

7. SUBSCRIPTIONS, FEES & PAYMENT PROCESSING

Access to certain features and event capacity requires payment of subscription fees or event package charges. All fees are quoted in USD or as specified at checkout. Payments are securely processed by Stripe. By submitting payment details, you authorize Stripe to charge the specified amount. All fees are non-refundable except as expressly agreed in writing or required by law.

8. INTELLECTUAL PROPERTY & PROPRIETARY RIGHTS

The PixTwist platform, source code, UI designs, system architectures, and documentation are proprietary property of Requiremints LTD. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for its intended purpose.

Client Data Ownership: You retain all ownership rights in your uploaded brand assets, attendee lead capture data, and custom stage configurations. Requiremints LTD processes such data solely as necessary to provide the Services.

9. PROHIBITED PLATFORM ACTIVITIES

You may not access or use the Services for any unauthorized purpose. Prohibited activities include: reverse engineering or scraping the platform; attempting to bypass rate limits or multi-tenant database isolation; uploading malicious scripts or code; and using the platform in violation of any applicable law.

10. LIVE STAGE BROADCASTS & CONTENT MODERATION

Event administrators maintain complete discretion over the live stage broadcast gallery. You have the right and responsibility to review, approve, reject, or delete attendee photos before or during display on public screens. Requiremints LTD is not responsible for content displayed on your live stage displays.

11. TERMINATION & CANCELLATION

You may cancel your subscription at any time through your Organization Account Settings. Requiremints LTD reserves the right to suspend or terminate your account if you violate these Terms of Use, without notice or liability.

12. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. REQUIREDMINTS LTD EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13. LIMITATION OF LIABILITY

IN NO EVENT SHALL REQUIREMINTS LTD, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, INCLUDING LOSS OF PROFIT, EVENT DELAYS, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER SHALL BE LIMITED TO THE GREATER OF $100 USD OR THE TOTAL AMOUNT PAID BY YOU TO REQUIREMINTS LTD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Requiremints LTD, its subsidiaries, affiliates, officers, and employees from and against any loss, damage, liability, claim, or demand (including reasonable legal fees) made by any third party due to or arising out of:

• Any breach of these Terms of Use by you or your users
• Any violation of third-party intellectual property or privacy rights arising from images or brand assets uploaded to your event
• Any unlawful, defamatory, or infringing AI prompts or styles configured by you
• Any dispute between you and your event attendees regarding mobile portal terms, consents, or photo processing

15. GOVERNING LAW & DISPUTE RESOLUTION

These Terms of Use and your use of the Services are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles. Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the competent courts located in Tel Aviv, Israel.

16. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms of Use at any time. We will alert you about any changes by updating the "Last updated" date of these Terms of Use. Your continued use of the Services after such modifications constitutes your acceptance of the revised terms.
